Workbench End-User License Agreement

Effective date: July 20, 2026 Applies to: Workbench, the internal staff application at workbench.servproteamolson.com

This End-User License Agreement ("Agreement") governs use of Workbench (the "Application"), an internal business application operated by Olson Finance, LLC (the "Company"). By signing in to or using the Application, you agree to this Agreement.

1. Who may use the Application

The Application is available only to Company employees and authorized contractors ("Users") with accounts provisioned by the Company. It is not offered to the public, and nothing in this Agreement grants rights to anyone else.

2. License

The Company grants you a limited, revocable, non-exclusive, non-transferable right to use the Application for the Company's business purposes, in connection with your work for the Company, and subject to this Agreement and Company policies. All rights not expressly granted are reserved.

3. Acceptable use

You agree to:

  • Use the Application only for legitimate Company business.
  • Keep your credentials confidential, use your own account, and promptly report suspected compromise.
  • Respect the Application's role-based permissions — do not attempt to access data or administrative functions beyond your role.
  • Handle data in the Application — including staff personal information, customer information, and Company financial data (including data imported from QuickBooks Online) — as confidential Company information, consistent with your employment or contractor agreement and Company policies.

You agree not to:

  • Copy, export, or share Application data except as required for your job.
  • Probe, disable, or circumvent security or access controls.
  • Introduce malicious code, or use automated means to scrape the Application.
  • Reverse engineer the Application except where such a restriction is prohibited by law.
  • Use AI-assisted features to generate content that violates Company policy, or represent AI-generated output as verified fact without review.

4. Ownership

The Application, its code, and all data in it are the property of the Company (or its licensors). Company data — including staff records, operational job data, and financial data — remains Company property. You acquire no ownership interest by using the Application.

5. Privacy

Use of the Application is subject to the Workbench Privacy Policy at /legal/privacy-policy, which describes what information the Application processes (including data connected from QuickBooks Online at the Company's direction) and the service providers involved.

6. Third-party services

The Application incorporates third-party services (hosting, authentication, email, AI models, and integrations such as QuickBooks Online). Those services are provided under their own terms between the Company and the vendors; this Agreement does not create any relationship between you and those vendors. Only authorized administrators may connect, configure, or disconnect third-party integrations.

7. Availability and changes

The Application is provided for internal use and may be modified, suspended, or discontinued at any time without notice. Features may change as the Company's needs change.

8. Disclaimer of warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. REPORTS AND DASHBOARDS (INCLUDING FINANCIAL DATA IMPORTED FROM QUICKBOOKS ONLINE) ARE INTERNAL TOOLS AND MAY CONTAIN ERRORS OR TIMING DIFFERENCES; AUTHORITATIVE FINANCIAL RECORDS REMAIN IN THE COMPANY'S ACCOUNTING SYSTEM OF RECORD.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE TO ANY USER FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE APPLICATION. NOTHING IN THIS AGREEMENT LIMITS RIGHTS OR REMEDIES YOU MAY HAVE UNDER YOUR EMPLOYMENT AGREEMENT OR APPLICABLE LAW.

10. Termination

Your access ends when your employment or engagement with the Company ends, or earlier if revoked by the Company. The Company may suspend or terminate access at any time, including for violation of this Agreement or Company policy. Sections 3–6 and 8–12 survive termination with respect to your prior use.

11. Governing law

This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law rules, and any disputes will be resolved in the state or federal courts located in the State of Colorado.

12. General

This Agreement supplements — and does not replace — your employment or contractor agreement and Company policies (including confidentiality, IT, and acceptable-use policies). If any provision is unenforceable, the remainder stays in effect. The Company may update this Agreement by posting a revised version with a new effective date; continued use constitutes acceptance.
